1. Acceptance of Terms
By registering for or using the PriceLOCQ for Business, you (“Customer”) acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions, as well as any policies or guidelines referenced herein. If you do not agree, you must not access or use the Platform.
2. Definitions
- “LOCQ” – Refers to LOCQ, INC., the platform provider and operator of PriceLOCQ for Business.
- “Customer” – A business entity that enrolls and uses the Fleet Portal, and any related products under PriceLOCQ for Business.
- “Fleet Portal” – refers to the web portal tool provided by LOCQ to use the PriceLOCQ for Business platform.
- “Fuel Partner Company” – refers to the third-party fuel provider with whom the Customer has an agreement for the purchase and redemption of fuel products through the Platform. This may include, but is not limited to, SEAOIL Philippines, Inc., or other affiliated fuel brands.
- “Fuel Credits” – Pre-purchased units of fuel (in liters) allocated and tracked via the Platform
- “MOA” – The signed Memorandum of Agreement between the Customer and Fuel Partner Company outlining pricing, discounts, volume commitment, and station access.
- “PriceLOCQ for Business” or “Platform” – The platform system provided by LOCQ for fleet and fuel management.
3. Overview of Services
LOCQ provides a digital Platform that enables Customers to do the following actions, including but not limited to:
- Cash-in funds into an account,
- Pre-purchase gasoline or diesel fuel credits at agreed prices with the Fuel Partner Company,
- Allocate fuel credits to drivers through digital fuel codes, and/or
- Track consumption, allocations, and balances in real-time.
The Platform serves as a facilitation tool only. Fuel purchases and pricing agreements are governed by the MOA between the Customer and the Fuel Partner Company. LOCQ is not a party to any fuel sales agreement .
4. Account Enrollment
To access the Platform, Customers must:
- Be referred or enrolled via the Fuel Partner Company and enter into a valid MOA,
- Complete registration and onboarding requirements through LOCQ, and
- Accept these Terms and Conditions upon sign-up.
Enrollment is subject to exclusive evaluation, verification and approval by LOCQ and the Fuel Partner Company.
5. Pricing and Other Charges
Fuel Credit pricing is based on the agreed reference gas station (the “Reference Gas Station”) and applied discount, as stated in the MOA.
Discounts applied are subject to the prior approval of the Fuel Partner Company. Approval of such discounts may depend on a variety of factors, including but not limited to, local and global market conditions, the Customer’s committed volume consumption, and other commercial or operational considerations as determined solely by the Fuel Partner Company.
The agreed Reference Gas Station and discounts provided to the Customer may be subject to periodic updates at the exclusive discretion of the Fuel Partner Company. Any such updates may take into consideration fuel price movements, market behavior, and the operational feasibility of the originally agreed reference point.
All prices and discounts reflected in the Platform are considered final upon purchase confirmation and are not subject to retroactive adjustment. The Customer understands and accepts the price risks associated with fuel pre-purchasing — i.e., there may be instances where the market price at the time of actual fuel redemption is lower than the pre-purchased price. Such occurrences are considered part of the commercial risk inherent in hedging fuel purchases in advance, and LOCQ and the Fuel Partner Company shall not be held liable for any resulting loss or opportunity cost.
The Fuel Partner Company and LOCQ reserves the right to adjust or introduce changes in pricing with proper notice.

6. Account Set-Up and Security
Customers are responsible for the accuracy of information submitted during account creation.
Each Customer will be provided with administrator access to manage users and transactions.

7. Funding and Fleet Management
Customers may fund their PriceLOCQ for Business account through approved payment channels made available in the Platform. Crediting timelines may vary depending on the selected payment method and are subject to verification and processing delays.
Once funds are confirmed, Customers may pre-purchase Fuel Credits (either diesel or gasoline) based on their agreed pricing terms with the Fuel Partner Company. All Fuel Credits are denominated in liters and are non-refundable, non-convertible to cash, and non-transferable to other entities or platforms.
The Platform allows Customers to populate and manage a list of the authorized access user (email accounts allowed to access the Platform), authorized drivers (including full name and Driver’s License Number) and vehicles (including official Plate Number). This list is essential for assigning digital fuel codes and for validating the identity of users at the Fuel Partner Company stations. It is the Customer’s responsibility to ensure that all email accounts, drivers and vehicle records are accurate, complete, and regularly maintained and updated.

- Maximum redemption limit (in liters or pesos)
- Validity period (start and end date)
- Product restriction (gasoline or diesel only)
- Assignment to a specific registered driver or vehicle, or both
- Fuel codes assigned to a specific vehicle or driver must be presented along with matching identification (e.g., license or plate number) at participating Fuel Partner Company stations. The Fuel Partner Company station personnel will validate these details as part of the redemption process.
- The Customer assumes full responsibility for the creation, management, distribution, and monitoring of digital fuel codes, including any fuel loss due to incorrect assignment or unauthorized use within their organization. LOCQ shall not be held liable for misuse, misallocation, or fraud arising from the Customer’s own account users or the failure to maintain accurate email access accounts, driver and/or vehicle records
- The Customer is solely responsible for ensuring the privacy and security of all driver and vehicle information uploaded to the Platform. This includes compliance with applicable data privacy laws and internal company policies. LOCQ implements reasonable security measures but shall not be held liable for any unauthorized access, internal misuse, or negligent exposure of such information within the Customer’s organization.
- Any issues or incidents involving suspected fraud, misuse of fuel codes, or unauthorized redemptions must be reported to LOCQ immediately via the designated support channels in the Platform. LOCQ may assist in coordinating a validation process and facilitate communication with the Fuel Partner Company or relevant parties, but shall not be responsible for losses resulting from the Customer’s delayed reporting or failure to implement internal controls.

LOCQ reserves the right to suspend or terminate Customer access in any of the following instances:
- There is a breach of these Terms and Conditions.
- Detection of any suspicious activities such as, but not limited to, fraud, unauthorized use, misuse, or any other illegal activity.
- LOCQ receives instructions from the Fuel Partner Company based on MOA violation.
- The account remains inactive beyond a reasonable period.
- Ordered by a competent court of jurisdiction, and/or any administrative government agencies.
Upon termination, unused Fuel Credits remain subject to the refund or usage policies of the Fuel Partner Company.
10. Refund Policy
Requests for refund or transaction reversal must be formally submitted within ninety (90) calendar days from the date of the disputed transaction. Upon receipt, LOCQ shall evaluate the validity of the request and, if found meritorious, shall process the refund within sixty (60) calendar days.
LOCQ reserves the right to deduct from any refundable amount any applicable fees and/or losses directly resulting from the disputed transaction. Deductions may include, but are not limited to, the following:

- Reversal losses from price movements: In cases where the disputed transaction (e.g., unauthorized or fraudulent cash-ins, including those resulting from phishing or credit card misuse) was already used to fund the Liter Balance or Fuel Balance, LOCQ will reverse the equivalent amount to Philippine Peso at the original purchase price or at the current pump price of the Customer’s Reference Gas Station, whichever is lower.
- Deduction of redeemed credits: If any portion of the disputed amount has already been redeemed (e.g., through fueling at a gas station or other valid redemption channels), the equivalent Philippine Peso value of the redeemed credits will not be refunded.
- Non-refundable charges: Any other transaction-related fees, platform charges, or penalties that have already been incurred and are non-refundable in nature shall be deducted or excluded from the refundable amount.
LOCQ may coordinate with the Fuel Partner Company and other third-party providers, where applicable, to validate the transaction history, determine liabilities, and assist in the investigation of the dispute. However, LOCQ shall not be held liable for any delays, damages, or losses arising from refund requests due to circumstances beyond its control, including but not limited to the actions or omissions of the Fuel Partner Company, financial institutions, or the Customer’s authorized users.
11. Indemnification
The Customer agrees to indemnify and hold harmless LOCQ, its officers, employees, and affiliates against any claims, losses, or damages arising from:
- Misuse of the Platform;
- Breach of these Terms;
12. Platform Availability
LOCQ aims to maintain continuous Platform availability but may perform scheduled or emergency maintenance. LOCQ is not liable for any temporary unavailability or resulting business losses, if any, arising out of the Platform’s unavailability.
13. Limitation of Liability
The Platform and related services are provided on an “as is” and “as available” basis. While LOCQ endeavors to maintain uninterrupted access and accurate reporting, technical interruptions, downtime, and delays may occasionally occur.
LOCQ is not liable for operational issues caused by external conditions beyond its control, including but not limited to:

- Force Majeure;
- The closure of the Fuel Partner Company stations;
- Unavailability or stock-out of specific fuel products at designated Fuel Partner Company stations;
- Delays or failures in the Fuel Partner Company’s fuel acceptance systems or site-level equipment.
- Customers are advised to account for operational contingencies (e.g., alternate fuel stations) within their fleet operations plan. LOCQ is not responsible for any business disruption, opportunity loss, or financial impact arising from such external service constraints.
- Any incidents involving alleged fraud, negligence, poor service, or non-compliance committed by the Fuel Partner Company personnel or partner station attendants (e.g., misuse of presented fuel codes, unauthorized fuel redemption, failure to honor valid fuel codes) shall not be considered the liability of LOCQ. These incidents are subject to investigation and resolution between the Customer and the Fuel Partner Company under the terms of their Memorandum of Agreement. LOCQ may assist in facilitating the review, validation, and documentation of such incidents, but shall not be held liable for any losses arising therefrom. Final accountability and resolution shall be determined based on the outcome of the Fuel Partner Company’s internal investigation and applicable contractual provisions.
- Customers agree to hold LOCQ and the Fuel Partner Companies, including their respective directors, officers, employees, authorized representatives, agents, service providers, successors, and assigns, free and harmless and indemnified from any and all liabilities, claims, damages, suits of whatever nature, arising out of or in connection with the implementation of the platform and its services, unless the loss or damage incurred is solely and directly caused by the gross negligence or willful misconduct of LOCQ or the Fuel Partner Company
14. Data Privacy
All personal and corporate data collected will be handled in accordance with the Data Privacy Act of 2012 and the LOCQ Privacy Policy. Customers are responsible for informing their users (e.g., drivers) about data usage.
15. Amendments
LOCQ may update these Terms and Conditions from time to time. Notice will be given via Platform notification. Continued use after such notice constitutes acceptance of the revised terms.
